1. Provider and scope<\/h2>

These Terms and Conditions apply to contracts for the digital subscriptions offered on bl-capital.de between B&L Capital Management GbR, Ostpreu\u00dfenweg 7c, 33758 Schlo\u00df Holte-Stukenbrock, Germany, and the customer. The partnership is represented by Mats Brockschnieder, Janne Brockschnieder and Mika Lak\u00e4mper. Contact: info@bl-capital.de<\/a>, telephone +49 175 1939334.<\/p>

The Terms and Conditions incorporated into the contract at the time of conclusion, together with the agreed description of services, govern the contract. Individual agreements take precedence. Publishing amended Terms and Conditions on the website does not automatically amend existing contracts.<\/p>

2. Eligible customers: European Union<\/h2>

The paid offering is available exclusively to consumers of legal age and full legal capacity who reside in a Member State of the European Union, and to businesses established in a Member State of the European Union. Eligibility depends on residence or place of business, not nationality. We do not offer contracts to customers based outside the EU. Switzerland, Norway, Iceland and Liechtenstein are not EU Member States.<\/p>

Consumers and businesses are persons within the meaning of sections 13 and 14 of the German Civil Code (BGB). This restriction on eligible customers does not affect statutory or contractual rights that have already arisen.<\/p>

3. Subscription content<\/h2>

Das B&L Markt-Update umfasst digitale Ver\u00f6ffentlichungen zu Aktien, Rohstoffen, Edelmetallen, Bitcoin und makro\u00f6konomischen Entwicklungen. Zum Leistungsumfang geh\u00f6ren die im gebuchten Angebot beschriebenen Marktupdates, der Zugang zum Mitgliederarchiv und die dort zugesagten weiteren Inhalte und E-Mail-Alerts. Ma\u00dfgeblich ist die Leistungsbeschreibung zum Zeitpunkt der Bestellung.<\/p>

The content provides general information and financial education. The service does not include investment advice tailored to personal circumstances, the arrangement or execution of securities transactions, or the management of customer assets. No particular return or investment outcome is promised. Customers make investment decisions on their own responsibility. Investments can result in a total loss; past performance is not a reliable indicator of future results. Statutory claims and liability under clause 11 remain unaffected.<\/p>

4. Ordering and formation of the contract<\/h2>

The presentation of subscriptions is an invitation to place an order. Customers can review and correct their details before submitting an order that entails an obligation to pay. By submitting that order, the customer makes a binding offer. The contract is concluded when we expressly accept it by email or activate the access ordered. An acknowledgement of receipt of an order constitutes acceptance only if it expressly states that it does.<\/p>

The language of the contract is German. The customer receives confirmation of the contract on a durable medium, in particular by email, containing the relevant contractual information and the incorporated Terms and Conditions. The customer may save this for their records. We do not promise separate, permanent access to all historical contract texts in the customer account.<\/p>

5. Prices, payment and discounts<\/h2>

The total price and billing period displayed at the time of ordering apply. Consumer prices include the applicable statutory VAT. Payment is due in advance using a payment method offered during checkout, in particular Stripe or PayPal. Where recurring payments are agreed, the agreed amount is collected on the relevant billing date. A failed collection does not automatically terminate the subscription.<\/p>

The monthly price of \u20ac14.99 agreed for a monthly subscription taken out on or before 31 December 2026 remains in place for that existing subscription. The announced monthly price of \u20ac19.99 from 1 January 2027 applies exclusively to new subscriptions taken out on or after that date. It does not automatically increase the price of existing subscriptions. Other price changes require a valid separate agreement.<\/p>

Promotional and quiz discounts are subject to the conditions communicated when they are redeemed. The 20% quiz discount applies only to the first payment, not to subsequent renewal payments. The reduced initial payment and subsequent regular payments must be displayed before the order is placed.<\/p>

6. Term and cancellation<\/h2>

Monthly subscription:<\/strong> The initial term is one month from the agreed contract start date. It can be cancelled at any time with effect from the end of that term. Unless cancelled, it continues for an indefinite period. It can then be cancelled at any time with effect from the end of the current monthly billing period, and in any event with no more than one month's notice from receipt of the cancellation.<\/p>

Annual subscription:<\/strong> The initial term is twelve months from the agreed contract start date. It can be cancelled at any time with effect from the end of that term. Unless cancelled, it then continues for an indefinite period and can be cancelled at any time with one month's notice. No new fixed minimum term of twelve months arises. Continuing to agree annual advance payment does not restrict this cancellation right. Fees already paid for the period after the effective end of the contract are refunded proportionately by calendar day.<\/p>

Cancellation is possible, in particular, by email to info@bl-capital.de<\/a> or via \u201cCancel a subscription\u201d<\/a> . No login is required to use that cancellation page. The customer receives confirmation of cancellation, including the termination date, on a durable medium. The right to terminate for good cause and special statutory termination rights remain unaffected.<\/p>

The agreed access remains available until the contract effectively ends. More favourable cancellation rights individually agreed for existing contracts remain unaffected.<\/p>

7. Access and technical requirements<\/h2>

Access is provided after the contract has been concluded and payment successfully confirmed. Provision before the withdrawal period expires is also subject to the statutory requirements described in clause 9. An Internet connection, a current standard browser and, for PDF content, a suitable viewer are required. Any specific technical requirements are disclosed before ordering, where necessary.<\/p>

Customers must provide accurate contact details and keep their email address up to date. Personal access codes must not be shared with unauthorised third parties. The provider must be informed of any indication of unauthorised access.<\/p>

Temporary suspension of access due to substantial payment arrears or significant misuse is permitted only to the extent lawful and proportionate. Where reasonable, prior notice and an opportunity to remedy the issue will be given. Immediate temporary suspension may be appropriate, in particular, where there is a specific threat to account security. The customer's statutory rights to withhold performance and rights relating to defects remain unaffected.<\/p>

8. Use of the content<\/h2>

Customers receive a non-exclusive, non-transferable right to use the content provided under the contract for their own purposes. A subscription does not permit sharing account access, publicly distributing the content or reselling it. Uses permitted by law, in particular lawful quotations and reproductions, remain unaffected. Any further use requires the consent of the relevant rights holder.<\/p>

Access to online content tied to the subscription ends when the contract ends. Lawfully downloaded content may be retained within the scope of the right granted for the customer's own use.<\/p>

9. Consumers' right of withdrawal<\/h2>

Consumers generally have a statutory right of withdrawal of fourteen days. Details, contact information and the model withdrawal form are provided in the Right of withdrawal<\/a>. The \u201cWithdraw from a contract\u201d<\/a> page is also available.<\/p>

For paid digital content not supplied on a tangible medium, the right of withdrawal expires early only if all statutory requirements are met: we have begun performance of the contract; the consumer has previously expressly consented to performance beginning before the withdrawal period expires, acknowledged that this results in the loss of the right of withdrawal, and received the legally required confirmation of the contract recording those declarations. Merely agreeing to these Terms and Conditions does not replace those separate declarations. Where other services are involved, the statutory withdrawal rules applicable to them apply.<\/p>

10. Statutory rights concerning digital products<\/h2>

Statutory rights apply where digital products do not conform to the contract. These include statutory claims to bring the product into conformity and, where the relevant requirements are met, termination, price reduction and damages. Updates required by law, including security updates, will be provided; the customer will be given the necessary information.<\/p>

These Terms and Conditions do not grant a general right to reduce the agreed scope of services unilaterally. Changes are governed by the statutory requirements or a valid separate agreement. Editorial selection of individual topics within the agreed offering remains possible.<\/p>

11. Liability<\/h2>

We are liable without limitation for intent and gross negligence and for loss resulting from injury to life, body or health. Liability under the German Product Liability Act, for fraudulent concealment of a defect and under an assumed guarantee according to its terms also remains unaffected.<\/p>

For slightly negligent breaches of essential contractual obligations, liability is limited to the loss typical of the contract and foreseeable at the time of its conclusion. Essential contractual obligations are obligations whose fulfilment enables proper performance of the contract and on whose fulfilment the customer may ordinarily rely. Liability for slight negligence is otherwise excluded. Mandatory statutory liability remains unaffected. These provisions also apply for the benefit of our legal representatives and persons employed in performing our obligations.<\/p>

12. Privacy and communication<\/h2>

Information on the processing of personal data is provided in the Privacy Policy<\/a>. Ihre Kenntnisnahme ist keine pauschale Einwilligung in s\u00e4mtliche Datenverarbeitungen. Soweit eine gesonderte Einwilligung erforderlich ist, wird sie gesondert eingeholt. 13. Applicable law and dispute resolution<\/h2>

German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods. For consumers, this choice of law does not remove the protection of mandatory provisions of the law of their country of habitual residence that would apply without that choice. Statutory rules determine jurisdiction; no exclusive place of jurisdiction to the detriment of consumers is agreed.<\/p>

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board. If any provision is invalid, the statutory provisions apply in its place.
